Terms of Service

These Terms govern access to the Shoplink Technologies website and, when made available, the ShopNlinq social-commerce service.

Pre-launch service scope

ShopNlinq has not publicly launched. These Terms cover the current corporate website and describe the conditions expected to apply when relevant ShopNlinq features become available. They will be updated to reflect the service offered at launch.

1. Acceptance and operator

These Terms form an agreement between you and Shoplink Technologies when they are presented with an available service and you validly indicate acceptance, or where acceptance follows from use under applicable law. If you do not agree, do not create an account or use the relevant ShopNlinq service.

The public corporate website currently provides information and contact links. ShopNlinq has not publicly launched, so these Terms do not grant access to an unavailable service.

2. ShopNlinq, Shoplink Technologies and development status

ShopNlinq is a social-commerce product developed and operated by Shoplink Technologies. It is not a separate company or legal entity. ShopNlinq is being built to help businesses connect with customers, showcase products, and manage online commerce through social and digital channels.

ShopNlinq is still in development and is not publicly available. Descriptions of storefronts, catalogues, availability controls, WhatsApp ordering and subscription features refer to functionality being developed or planned for launch. Features may be refined, postponed or omitted before release, and no launch date is promised by these Terms.

3. Eligibility, registration and account security

When registration becomes available, you must have the legal capacity required under applicable law to agree to these Terms. If you use ShopNlinq for a business or organisation, you confirm you are authorised to act for it.

You are responsible for providing accurate registration and contact information, keeping it current, protecting credentials and devices, and notifying Shoplink Technologies promptly about suspected unauthorised access. We may request information reasonably needed to verify an account, a representative’s authority or compliance. Verification is not an endorsement or guarantee of a merchant or customer.

4. Acceptable use and prohibited activities

You may use ShopNlinq only for lawful purposes and in accordance with these Terms. You must not:

  • facilitate fraud or sell prohibited, counterfeit, stolen, unsafe or unlawfully restricted goods;
  • publish false, deceptive, defamatory, infringing, abusive or otherwise unlawful content;
  • impersonate another person or business or mislead users about a product or transaction;
  • violate privacy, data-protection or intellectual-property rights;
  • send spam, unlawful direct marketing, malware or harmful code;
  • attempt unauthorised access, bypass controls, probe vulnerabilities or disrupt the service; or
  • scrape or extract data by automated means without written permission, except where law permits it.

We may investigate credible reports and take proportionate action, while respecting applicable law and legitimate user rights.

5. Merchant and customer responsibilities

Merchants

Each merchant is responsible for the legality, accuracy and completeness of its business details, listings, images, prices and availability; for having rights to uploaded content; for confirming order details; and for meeting applicable product, tax, fulfilment, delivery, return, refund, warranty and customer-care obligations. Merchants must handle customer information lawfully.

Customers

Each customer is responsible for providing accurate contact and order information, reviewing product and transaction details supplied by the merchant, communicating lawfully, protecting account and payment information, and checking a recipient before making a payment.

6. Product listings, prices and availability

Merchants create and control their listings. They must ensure descriptions, images, prices, stock status and other claims are accurate, current, lawful and not misleading. A merchant must not list an item it is not permitted to sell.

Unless expressly stated otherwise, displaying a listing does not mean Shoplink Technologies owns, stocks, has inspected or endorses the item. Availability may change before a merchant confirms an order. Listing questions should be resolved with the merchant.

7. Orders and buyer-seller transactions

ShopNlinq is intended to facilitate product discovery, merchant-customer communication and WhatsApp-based ordering. It may help a customer prepare an order enquiry, but the merchant must confirm whether the order is accepted and on what terms.

The buyer and merchant are responsible for agreeing the final product, quantity, price, payment method, delivery or collection, returns, refunds and warranty. Shoplink Technologies does not currently process, hold, settle or guarantee buyer-to-merchant payments, does not provide delivery or logistics services, and does not guarantee either party will complete a transaction.

8. WhatsApp communications and ordering

A ShopNlinq or website action may open WhatsApp with information prepared for a message. You decide whether to send, edit or cancel it. Opening or sending a message does not mean an order has been accepted, paid for or fulfilled.

WhatsApp is a third-party service operated by Meta and subject to its own terms, privacy practices, availability and technical limits. Check the recipient and content before sending. Network or data charges may apply.

9. ShopNlinq Pro subscriptions

If ShopNlinq Pro is offered, its features, price, billing interval, renewal terms and cancellation process must be shown before purchase. Any additional checkout terms will form part of the agreement.

Paystack may be used for ShopNlinq Pro subscription payments only, not for buyer-to-merchant commerce payments. Any refund, renewal, failed-payment or plan-change rules will be disclosed with the available offering and will remain subject to applicable law.

10. Intellectual property and user content

ShopNlinq software, original website content, and Shoplink Technologies names, logos and branding belong to Shoplink Technologies or the relevant licensor. Permission to use available features does not transfer ownership.

You retain ownership of content you submit, subject to the rights of others. You grant Shoplink Technologies a limited, non-exclusive licence to host, store, reproduce, format and display that content only as reasonably needed to operate and secure the features you use. You confirm you have the necessary rights, and content may be restricted or removed where it reasonably appears unlawful or contrary to these Terms.

11. Third-party services, links and privacy

The website and ShopNlinq may rely on or link to independent services such as WhatsApp, authentication and hosting infrastructure, and Paystack for ShopNlinq Pro subscriptions. Those services are governed by their own terms and privacy practices and may change independently.

A link is not automatically an endorsement. Our Privacy Policy explains how personal information is handled and will be updated when production features or providers change.

12. Service availability, maintenance and changes

ShopNlinq is not publicly available. When released, availability may be affected by maintenance, security work, faults, internet conditions or third-party systems. No service-level commitment is made unless separately provided in writing.

Features may be maintained, updated, replaced or discontinued for security, legal, technical or operational reasons. Where a change materially affects active users, reasonable notice should be given when practicable and required. No development description promises that a feature will launch or remain unchanged.

13. Reasonable disclaimers and limitations of liability

Shoplink Technologies will seek to operate its services with reasonable care and skill. To the extent permitted by applicable law, we do not guarantee uninterrupted or error-free access, immediate correction of every issue, or the accuracy, safety, quality, legality or performance of products, listings, merchants, customers or independent services.

Each party remains responsible for losses caused by its own acts or omissions. To the extent law permits, Shoplink Technologies is not responsible for indirect or unforeseeable loss, or loss caused by an independent merchant, customer, third-party service, event outside reasonable control, or a user’s failure to follow reasonable security guidance.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability, right or remedy that cannot lawfully be excluded or limited.

14. Account suspension and termination

When accounts become available, a user may stop using the service and ask to close an account, subject to lawful record retention. Access may be proportionately restricted, suspended or terminated to address a serious or repeated breach, unlawful activity, fraud, security risk, harm, non-payment of an applicable ShopNlinq Pro subscription, or a legal requirement.

Where appropriate and lawful, notice and a reason should be provided with a reasonable opportunity to respond. Immediate action may be necessary where delay creates material risk.

15. Changes to these Terms

These Terms may be updated to reflect the service that launches, new features, provider changes or legal requirements. The current version will show its effective and last-updated dates. Material changes affecting active users should receive reasonable notice when practicable or required. Continued use counts as acceptance only where that result is valid under applicable law.

16. Governing law and jurisdiction

These Terms are governed by the laws of Ghana. Disputes may be brought before a court or other competent forum in Ghana, subject to mandatory rights, remedies or jurisdiction rules. The parties are encouraged to contact each other and attempt a good-faith resolution before formal proceedings, without preventing urgent or lawful relief.
